Terms of entering into the club: "ProfInfoInvest - Mining"

Dear Sirs!

Saint-Petersburg information-marketing company RSoft, Ltd. and North-West Regional Geological Centre offers You to take participation in professional Association "ProfInfoInvest - Mining", which is related to the Mining Industry.

The aim of the Project is to advance an information about production and services on internal and external markets of Russia; investments and credits attraction by mean of information, marketing and advertisement support of mining and mine-processing companies, service-companies: state organizations, trusts, managements, licence centres, branch scientific-researching and educational institutes, repair organizations, producers of specific equipment and technology, geological surveing, cartographing, oil-rig, divering and other companies.

Selective phone and postal inquiry of companies managers displayed a great intersting in creating of such association. Rsoft, depending on it's own information resources, created an allocated information space for this Project on it's site "Business Information". We collect the following information on this space: virtual offices of companies-members of the Association, customs legislation, useful information for the companies of Mining Industry and related brunches.

Conception of the Project:
We are planning to join as much as possible companies within this Project. This companies might belong (directly or indirectly) to Mineral and Raw Material Resources Industry. Of cource, this companies also might gave us information about their activities. All of the information, which we have, about these companies will be accessible by anyone.

Project's information resources:
information of companies-members of the Association: production, services, investment/credit offers/needs etc.,
helpful information: address databases, branch news, legislation etc...
All of this information is FREE for the Association members.

If the company does not have access to Internet, we provide all information, that we have, printed. Consultaions are provided too. This mean that company-member of the Project might have no access to Internet.

Within the Project RSoft leads the following actions:
    - advancing of the Association on the Internet: registration in the largest search databases and subject associations;
    - creating references into the Project's space from mostly visitable part's of the site "Business Information". Massive advertisement of this site is carried out in the Internet and mass-media;
    - including information about the Project into advertising and information materials of RSoft and it's production;
    - advancing Project's news through business-tapes of our partners and mass-media;
    - advancing information about the Project into the state administrative structures etc.

Further we plan to realize marketing researches, based on the requests of the Association's members, and a set of another information supporting actions, wich will help in Association's members business.

Terms of club membership is decribed in Appendix 1.

Abroad experience and longstanding operations shows perpective of such joining of information resources. We are glad to give You any additional information and answer Your questions.

Appendix 1 Club membership and membership paying.

Club membership means:
    - gaving us information about Your company,
    - using information resources of the Club,
    - membership paying.

If You want to be a member of the Club, You need to pay yearly fee and give us following material, which will be placed at "Business Information" site.
On expiration of a year membership can be renewed by repeated payment for the next date.

Following material can be arived by any way:
    - by messenger,
    - by post,
    - by fax or E-Mail.
After receiving Your materials, we will send You invoices for placing this material at the "Business informaton" site of the RSoft, Ltd company.
Material is placed since 10 days from the moment of it's ariving.
During club's membership additional information, which You gave us, will be placed for FREE!.

The following materials will be placed at the Project's space :
    - Complete and brief name of the Company; a pattern of ownership; financial and other details;
    - Contact details, decision-making personell;
    - Corporate introduction;
    - List of services, products (including pictures)
    - Investment/credit offers/needs; description of the projects
    - Company's Activity reports; Financial reports;
    - Key personell of the Company;
    - Usage of products/services;
    - Regions of interests/distribution of production/services etc.

Membership paying:
Yearly membership paying:
    For industrial and mining companies: - first year: $ 880 US;
    following years: $ 800 US
    + tax to added cost.
    For scientific and state companies: - first year: $ 260 US;
    following years: $ 200 US
    + VAC(20%).

    For the Companies, which already have materials in the Internet, RSoft will place reference to them and brief information about Company in Project's place:
    first and following years: $ 120 US
    + VAC(20%).

Within the Project we carry out the following actions:
    - Attraction of the Companies to the participation of the Project's activity,
    - The Project is supported by RSoft's information and other resources;
    - Designing of the materials to place them on the Internet cite;
    - Granting access to the Project's information;
    - Advertisement support of the Project and it's members.
